Terms Of Service

  1. Introduction

    1. These Terms of Service ("Terms") govern your use of the services provided by API VERSA OÜ, an Estonian company with Company Number 16832576 and a mailing address of Lootsa 2a, Tallinn 11415, Estonia. ("Geocode.Farm", "API VERSA", "API VERSA OÜ", "We", "Our", "Us", "we", "our", or "us") through the domain name "geocode.farm".
    2. The terms "you" and "your" refer to the individual user or entity accessing or using our Services.
    3. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and in such a case, "you" and "your" will refer to that organization.
    4. By accessing or using our services, including but not limited to all services offered through the "geocode.farm" domain and any subdomains (collectively, the "Services"), you agree to abide by these terms and any future updates or modifications.
    5. If you do not agree to these Terms, please refrain from using our Services. These Terms constitute a legally binding agreement between you and Geocode.Farm, so please read them carefully.
    6. These Terms shall be governed by the laws of Estonia and any remedies shall be by Estonian Courts and Jurisdiction only.
    7. Our Privacy Policy (https://geocode.farm/policies/privacy-policy/) is hereby incorporated by reference.

  2. Electronic Signatures

    1. Geocode.Farm acknowledges and accepts electronic signatures as valid and legally binding, equivalent to handwritten signatures. By utilizing electronic signatures within our Services, you agree that such signatures carry the same legal effect as traditional, ink-on-paper signatures.
    2. In certain circumstances where the legality of documents executed with Geocode.Farm requires physical signatures, the client agrees to promptly replace electronic signatures with physical signatures upon request. It is the responsibility of the client to ensure compliance with all applicable laws and regulations regarding signature requirements for specific documents.
    3. Should a situation arise where physical signatures are necessary for legal validity, Geocode.Farm will notify the client in a timely manner, specifying the documents requiring physical signatures and any relevant deadlines.
    4. The client agrees to cooperate with Geocode.Farm to facilitate the replacement of electronic signatures with physical signatures as required by law. Failure to comply with such requests may result in the invalidation of the affected documents and potential legal consequences.
    5. The client agrees to indemnify and hold Geocode.Farm harmless against any claims, damages, losses, or liabilities arising from the failure to replace electronic signatures with physical signatures when legally required.
    6. These provisions regarding electronic signatures are an integral part of our Terms and should be interpreted in conjunction with other applicable sections.

  3. Forbidden Usage

    1. You may NOT, without the express written permission of Geocode.Farm, resell the information or data provided. This includes redistributing the information or data at any or no cost to the user(s) of your own service(s) or website(s), regardless of pricing, loss, or profit earned from such redistribution.
    2. You may NOT share your API key with others or include it in leased, sold, or given out software or services. You may access the Services from a MAXIMUM of 3 IP addresses per 24 hours. Any further attempts will be blocked and staff will be notified. Excessive attempts from multiple IP addresses will result in account being banned permanently and all used IPs being blacklisted.
    3. You may NOT have more than 1 account at Geocode.Farm. If you believe you need multiple accounts, please contact us to discuss your options. Multiple accounts will be banned without prior notice. If multiple accounts come from the same IP, the may all be banned and the IP address used blocked.
    4. You may NOT sign up with or use on your account any disposable, invalid, or inaccessible email address. Accounts with invalid addresses that reject notification emails will be banned or deleted without notice (as the email is unable to recieve notice). Please use your correct and valid email. You must be able to recieve all emails from our domain (geocode.farm) to the email provided.
    5. You are prohibited from engaging in any activities that compromise the security or integrity of our network or the networks of others. This includes hacking, unauthorized access to systems or data, and the distribution of tools or information designed to facilitate unauthorized access.
    6. You must not engage in activities that result in excessive consumption of system resources, including CPU, memory, disk space, and network bandwidth, which may adversely affect the performance of our Services or impact other users.

  4. Permitted Usage

    1. You MAY store the information and data in a database system for later use that complies with Estonian law and these Terms.
    2. You MAY use the information and data in conjunction with a mapping provider to plot or allocate aerial data onto or in a map for use on your website(s).
    3. You MAY use the information and data in a way which complies with Estonian law and these Terms.
    4. You are encouraged to reach out to us for assistance with technical issues, account management, or legal inquiries related to your use of our Services.

  5. Billing & Payments

    1. Your billing details, including your Personally Identifiable Information, may be stored on our secure server(s) or on the secure server(s) of a third-party billing processor as we deem necessary for billing and business purposes.
    2. Your credit card details are considered confidential and not shared with anyone, except for business and billing purposes, as we deem necessary.
    3. You agree to allow Geocode.Farm to store, transmit, and share your credit card details for the purpose of billing you for the service(s).
    4. You agree to allow Geocode.Farm and its payment processor(s) to bill your card or other billing details in accordance with the plan or package you have active for the next billing cycle and any billing cycle after (unless you properly cancel) at the base rate plus any charges incurred during the current billing cycle beyond the base rate("base rate" is the monthly charge you agreed to pay based on the plan or package you chose).
    5. You agree to allow Geocode.Farm and its payment processor(s) to charge your card or other billing details in advance and up-front for any new service(s), change(s) to service(s), or addition(s) to service(s) that occur before, after, or during the current billing cycle. Such charges may occur at the time that such event(s) take place or at a later time as determined by Geocode.Farm in its sole discretion.
    6. You agree to allow Geocode.Farm to re-process, re-attempt, or re-charge your card or other billing details as needed to collect on unpaid invoices or balances.
    7. You agree to that Geocode.Farm may charge additional fees as it deems necessary, including but not limited to: declined card fees, processing fees, service fees, taxes, insufficient funds fees, etc.
    8. You agree that Geocode.Farm is not responsible for "foreign transaction fees", "currency conversion fees", or any other fees charged by your financial institution in the process of us billing or charging you for the services.
    9. You agree to that Geocode.Farm may change pricing for packages or services from time to time as it deems fit. You further agree that Geocode.Farm may in its sole discretion decide whether to charge you at the new rate or the old rate when pricing is changed. If Geocode.Farm decides that it will charge you at the new rate, Geocode.Farm will send you a notice to the email address on file no less than 24 hours before your account is updated with the new effective rate.
    10. You agree to collection activity and placement with a collection agency or credit reporing agency in any instance of your failure to pay or cause Geocode.Farm to keep payment for services herein described in a timely manner. For this purpose, invoices are due from the date on which they are issued and any stated due date includes any forgiveness period and may show a later date than the actual due and invoiced date. Collection activity is agreed and accepted from the date of ISSUANCE of the invoice, as entered into the system.
    11. You agree that you WILL NOT file a chargeback, dispute, or other inquiry into charges by Geocode.Farm. If a chargeback, dispute, or other inquiry is brought to the attention of Geocode.Farm, you authorize your financial institution to drop such chargeback, dispute, or inquiry and to release the funds back to Geocode.Farm immediately. You further agree that if a chargeback, dispute, or inquiry is brought to the attention of Geocode.Farm, Geocode.Farm may in its sole discretion charge you an addition fee for the chargeback, dispute, or inquiry not to exceed £100. If a chargeback, dispute, or inquiry is settled in your favor in disregard of your agreement to this section and causes Geocode.Farm to lose the original transaction proceeds, you agree that Geocode.Farm will re-charge you for the original amount charged in excess and in addition to the before mentioned fee. You further instruct your financial institution to recognize your agreement with this section and to honor it fully. You hereby waive all rights to the contrary of this section afforded to you by your "Cardholder Agreement", the Terms of your Bank, the laws of your State, the laws of your City, the laws of any Country that may apply, and any other rights which may be contrary to this section to the fullest extent allowable by law.

  6. Enforcement of Terms

    1. We reserves the right to investigate and take appropriate action against you if you are found to be in violation of these Terms, including suspension or termination of services, without prior notice, if deemed necessary to protect the integrity of our network, our legal interests, or the rights of others.
    2. If found to be in violation of these Terms, you may also be subject to legal action and may be held liable for any damages or losses incurred by us or third parties as a result of your actions.

  7. Modification of Terms

    1. We reserves the right to modify or update these Terms at any time without prior notice. You are responsible for regularly reviewing these Terms to ensure compliance with the latest version. Continued use of our Services constitute acceptance of any changes to this policy.

  8. Waiver of Liability

    1. By accessing or using our Services, you acknowledge and agree that you do so at your own risk. Geocode.Farm shall not be liable for any direct, indirect, incidental, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from your use of our Services or inability to access or use our Services.
    2. Geocode.Farm provides the Services on an "as is" and "as available" basis, without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
    3. Geocode.Farm may provide links to third-party websites or Services. We are not responsible for examining or evaluating the content or accuracy of such third-party websites or services, and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties.
    4. In no event shall Geocode.Farm, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
    5. You agree to defend, indemnify, and hold harmless Geocode.Farm, its directors, employees, partners, agents, suppliers, and affiliates, from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, or your violation of these Terms.
    6. By using our Services, you acknowledge that you have read, understood, and agreed to these terms and conditions, and you waive any right to pursue legal action against Geocode.Farm for any damages or losses incurred as a result of your use of our Services. If you do not agree to these terms, you may not access or use our Services.

  9. Severability

    1. In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. The validity and enforceability of the remaining provisions shall not be affected thereby.
    2. If any severed provision of these Terms is deemed unenforceable, it shall be modified, rewritten, or reinterpreted to the extent necessary to render it enforceable, while maintaining the original intent of the provision as closely as possible.
    3. The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision of these Terms, which shall remain in full force and effect.
    4. These Terms constitute the entire agreement between you and Geocode.Farm regarding the subject matter herein and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, relating to such subject matter.
    5. By accepting these Terms, you agree that if any provision is found to be unenforceable, it shall be severed from the agreement, and the remainder of the Terms shall continue to be binding and enforceable to the fullest extent permitted by law.
